PART 1 — INTRODUCTORY SECTIONS
1. Introduction
1.1 Agreement.
These Terms of Service ("Terms") govern your use of the Unilist application, website, and related services ("Unilist," "we," "our," "the Platform"). By creating an account, accessing, or using Unilist, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1.2 Modifications.
We may update these Terms at any time. When changes are made, we will notify users by posting the revised Terms within the Platform. Continued use of Unilist constitutes acceptance of the updated Terms.
1.3 Supplemental Policies.
These Terms incorporate by reference any additional guidelines, policies, or rules posted within the Platform, including safety policies, content standards, and community rules.
2. Definitions
For purposes of these Terms:
2.1 "User" means any individual who accesses or uses Unilist.
2.2 ".edu Verification" means verification using a valid educational institution email address.
2.3 "Minor User" means a User aged 13–17 who is enrolled in a college or university and uses a verified .edu email address.
2.4 "Content" means any text, images, photos, listings, messages, data, media, or materials uploaded, submitted, transmitted, or posted by a User.
2.5 "Unilist Content" means all features, functions, designs, trademarks, trade dress, code, and intellectual property owned by Unilist's founders.
2.6 "Housing Implementation IP" means all housing-related systems, know-how, operational processes, service workflows, and methods owned by Wesley Hsieh and licensed to Unilist.
2.7 "Codebase" means all source code, architecture, and program logic authored by Yang Gao and licensed to Unilist.
2.8 "Transaction" means any sale, purchase, exchange, rental, or arrangement conducted between Users.
2.9 "Disallowed Content" means any prohibited items or services defined in Section 16 (Comprehensive Prohibited Items List).
2.10 "Flagged Content" means Content reported by a User or automatically detected for review.
2.11 "Public Campus Location" means a designated safe meeting area located on or near a college campus, including campus police stations, libraries, student centers, or other commonly used public areas.
2.12 "Arbitration Agreement" refers to the binding arbitration clause in Section 22.
3. Eligibility
3.1 Minimum Age.
- Users under 13 years old may not use Unilist under any circumstance.
- Users aged 13–17 may use Unilist only if they are enrolled in a college or university and verify enrollment using an institutional email.
- Users 18 or older may freely use the Platform with .edu verification.
3.2 Verification Requirements.
Users must create an account using a valid educational institution email. We may request re-verification at any time, including proof of active enrollment.
3.3 Suspension of Eligibility.
If a User loses student status, attempts to bypass verification, or falsifies identity, Unilist may suspend or terminate the account.
3.4 Geographic Use.
Unilist is intended primarily for United States college communities. Users outside the United States use the Platform at their own risk.
4. Safety Rules
4.1 General Safety.
Users are responsible for their personal safety when interacting with other Users. Unilist provides safety guidelines but cannot guarantee User behavior.
4.2 Designated Meeting Areas.
Unilist strongly recommends meeting only in public, well-lit, campus-approved locations, especially near campus police stations or other monitored areas.
4.3 Daytime Preference.
Users should meet during daytime hours whenever possible. Users who choose to meet at night do so at their own risk.
4.4 Prohibited Conduct.
Users must not:
- engage in harassment, stalking, or threats;
- attempt to follow, track, or monitor another User offline;
- attempt in-person contact after being asked to stop;
- engage in unsafe or criminal behavior.
4.5 Reporting Unsafe Activity.
Users may report unsafe behavior through in-app tools. Unilist may, at its discretion, take action including warnings, suspensions, terminations, or escalation to campus or local authorities.
5. Special Safety Rules for Minors (Ages 13–17)
5.1 Restricted Meeting Rules for Minors.
Minor Users must:
- Meet only in Public Campus Locations.
- Meet only during daytime hours.
- Avoid transporting items off campus unless accompanied by another adult or authorized individual.
- Comply with all supplemental safety prompts.
5.2 Transaction Restrictions for Minors.
Minor Users may not:
- sell or purchase vehicles;
- rent or lease housing;
- meet in private residences;
- engage in adult-classified services or goods;
- engage in hazardous transactions.
5.3 Parental Rights.
Parents or guardians may request deletion of a Minor User's account and data.
5.4 Enhanced Enforcement.
Unilist may suspend Minor Users who violate safety requirements without prior notice.
6. Platform Role and Relationship to Transactions
6.1 Unilist Is Not a Party to Transactions.
Unilist is a facilitator only. We:
- do not buy, sell, deliver, or guarantee items;
- do not verify or validate User claims;
- do not supervise offline meetups;
- do not screen Users beyond .edu email verification.
6.2 No Agency or Brokerage.
Nothing in these Terms creates an agency, brokerage, escrow, joint venture, or fiduciary relationship between Unilist and any User.
6.3 User Responsibility.
Users are solely responsible for:
- verifying item condition and legitimacy;
- negotiating terms;
- evaluating safety risks;
- complying with applicable laws and campus policies.
6.4 No Guarantee.
Unilist does not guarantee:
- the accuracy of listings;
- the identity or behavior of Users;
- the legitimacy of items;
- the completion of transactions.
6.5 Future Paid Features.
When Unilist introduces paid advertising or promoted listings, those payments do not change Unilist's status as a non-party to Transactions.
7. User Obligations and Acceptable Use
7.1 User Conduct Rules.
Users agree not to:
- post Disallowed Content;
- misrepresent identity or affiliation;
- attempt to defraud or deceive other Users;
- solicit minors;
- violate laws or campus rules;
- upload harmful code, viruses, or scripts.
7.2 Respect and Non-Harassment.
Users must interact respectfully and may not harass, bully, or intimidate others.
7.3 No Commercial Use Except as Allowed.
Users may not use Unilist for business-level sales unless approved as an advertiser.
7.4 No Data Extraction.
Users may not scrape, copy, or extract data from Unilist for commercial or competitive purposes.
7.5 Account Security.
Users must keep login credentials secure and are responsible for all activity under their account.
7.6 One Account Rule.
Users may maintain only one personal account unless authorized.
PART 2 — ACCOUNT RULES, USER CONTENT LICENSE, DATA RETENTION, MESSAGING POLICY, PAYMENTS, IP OWNERSHIP, SECURITY
8. Account Creation, Verification, and Management
8.1 Account Creation.
To use Unilist, Users must:
- register with a valid .edu email;
- complete any required verification steps;
- provide accurate information;
- maintain one account unless otherwise approved.
8.2 Account Accuracy.
Users are responsible for ensuring all account information remains accurate. Unilist may request updated verification at any time.
8.3 Unauthorized Access.
Users must not allow others to access their accounts. Any unauthorized use must be reported immediately.
8.4 Account Suspension and Termination.
Unilist may suspend, limit, or terminate accounts, with or without notice, if:
- safety concerns arise;
- Terms are violated;
- fraudulent or suspicious activity is detected;
- minors violate safety rules;
- we determine in good faith that action is necessary to protect Users or the Platform.
8.5 Account Recovery.
We may request identity verification or enrollment proof to restore a suspended account.
9. Moderation and Enforcement Authority
9.1 Review Rights.
Unilist may review any Content, including listings, photos, and Flagged Content.
9.2 Removal Rights.
We may remove or modify any Content in good faith for safety, legal compliance, or community standard reasons.
9.3 Flagged Messages.
Unilist does not routinely monitor private messages. However, when messages are flagged:
- We may review the conversation to ensure safety;
- We may suspend or terminate accounts;
- We may forward serious safety concerns to campus or local authorities.
9.4 No Obligation to Monitor.
Unilist is not obligated to monitor all activity but may do so when necessary to protect Users.
9.5 Reporting Tools.
Users may report misconduct, unsafe items, scams, or other violations. Unilist may act at its discretion.
10. User Content License (Full Broad License)
10.1 User Ownership.
Users retain ownership of their Content.
10.2 License to Unilist.
By uploading Content, Users grant Unilist a worldwide, royalty-free, sublicensable, transferable, irrevocable license to:
- host, store, reproduce, and display Content;
- crop, resize, compress, or otherwise modify Content to fit Platform features;
- use Content in listings, feeds, search, safety systems, and recommendations;
- use Content in marketing materials, screenshots, social media posts, app store previews, and promotions;
- retain Content for safety, investigation, legal compliance, and fraud detection;
- use anonymized data for analytics and platform improvement.
10.3 Duration of License.
The license continues until all Content is fully deleted from Unilist systems and backups.
10.4 Post-Deletion Retention.
Unilist may retain deleted content for up to 90 days, or longer if:
- required by law;
- connected to an ongoing investigation;
- necessary to protect other Users.
10.5 No Compensation.
Users are not entitled to compensation for Content used in marketing or platform features.
11. Data Retention, Storage, and Investigation
11.1 Storage Duration.
Unilist may store:
- Deleted photos and listings for up to 90 days;
- Investigative data for as long as needed;
- Access logs, device info, and analytics to ensure platform safety.
11.2 Retention for Safety Investigations.
If content is part of a flagged or reported issue, Unilist may retain it beyond normal retention until the matter is resolved.
11.3 Security.
We use reasonable technical measures to secure data but cannot guarantee absolute security.
11.4 Compliance.
Unilist may disclose user data to law enforcement or campus authorities when legally required or necessary for User protection.
12. Messaging Policy
12.1 Private by Default.
Messages are private unless flagged.
12.2 Flagged Messages.
Messages may be reviewed if:
- reported by a User;
- detected as high-risk;
- involving minors;
- possibly violating safety rules.
12.3 Responsibility for Messages.
Users are responsible for the content of messages they send. Harassment, threats, sexual content toward minors, or harmful behavior may result in suspension.
13. Payments and Future Fees
13.1 Free Access for Students.
Peer-to-peer marketplace transactions between students will remain free.
13.2 Advertising and Promotions.
Unilist may offer paid promotional features for businesses, brands, or commercial users, including:
- boosted listings;
- featured placement;
- sponsored content;
- in-app ads;
- premium tools.
13.3 Fee Changes.
All fees will be transparent and announced in advance. Users will not be charged without consent.
13.4 No Financial Guarantees.
Unilist is not responsible for failed payments, disputes, or losses.
13.5 No Escrow or Payment Holding (At This Time).
Unilist does not currently handle payments. Future payment features will be subject to updated Terms.
14. Intellectual Property (IP) Ownership and Restrictions
14.1 Unilist IP.
All trademarks, brand assets, designs, UI/UX layouts, platform features, texts, structures, and Unilist Content are owned by Unilist founders and licensed to the company upon LLC formation.
14.2 Yang Gao's Code.
The entire software codebase, algorithms, structure, and program logic are owned by Yang Gao, and licensed to Unilist under a non-exclusive, revocable, royalty-free license for platform operation.
Users may not:
- access source code;
- attempt to reverse engineer;
- decompile;
- copy or extract functionality;
- recreate derivative systems.
14.3 Wesley Hsieh's Housing Implementation IP.
All housing-related business processes, strategies, operational workflows, and prior proprietary systems belong to Wesley Hsieh. Licensed to Unilist under: non-exclusive, revocable, royalty-free, use-limited license (only for Unilist operations). License terminates if Wesley becomes inactive, separated, or if Unilist ceases using the housing features for 90+ days.
14.4 Restrictions.
Users may not use Unilist Content, brand assets, or IP for:
- competitive services;
- data scraping;
- automated collection;
- reverse engineering;
- derivative works.
14.5 Violations.
IP violations may result in civil claims or criminal referral.
15. Security and Prohibited Behavior
15.1 Security Obligations.
Users may not interfere with platform security, including by:
- exploiting vulnerabilities;
- bypassing verification;
- attempting unauthorized access;
- distributing malware;
- interfering with platform operations.
15.2 Fraud and Deception.
Users may not:
- impersonate others;
- misrepresent items;
- misrepresent identity;
- create fake accounts;
- coordinate scams.
15.3 Threats and Damage.
Unilist may take action, including termination and referral to authorities, for any threats or risk to Users.
PART 3 — PROHIBITED ITEMS, ENFORCEMENT, WARRANTY DISCLAIMERS, LIABILITY, INDEMNIFICATION
16. Comprehensive Prohibited Items and Activities List
Users may not post, list, solicit, promote, exchange, coordinate, or offer any of the following prohibited items or services:
17. Enforcement Actions
17.1 Immediate Removal.
Unilist may remove prohibited items without warning.
17.2 Account Action.
Depending on severity:
- warnings;
- listing removal;
- temporary suspension;
- permanent suspension;
- referral to authorities.
17.3 Appeals.
Users may submit an appeal. Unilist may deny or accept at its discretion.
17.4 Repeat Violations.
Multiple offenses may result in permanent removal.
18. Risk Allocation
18.1 User Assumption of Risk.
Users assume all risks arising from:
- meetups;
- item exchanges;
- misrepresented goods;
- interactions with other Users;
- communications;
- safety choices.
18.2 No Guarantee of Identity.
We cannot guarantee the identity, age, or intention of Users beyond email verification.
18.3 No Guarantee of Item Quality.
We do not inspect items, verify authenticity, or evaluate condition.
18.4 No Guarantee of Safety.
Following Unilist safety guidelines does not eliminate risk.
19. Disclaimers of Warranty
19.1 Provided "As Is."
Unilist is provided "AS IS" and "AS AVAILABLE."
19.2 No Warranties.
We disclaim all warranties, including:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- accuracy;
- security;
- uptime or availability.
19.3 Third-Party Content.
Unilist is not responsible for User-generated content or third-party items.
20. Limitation of Liability
20.1 Maximum Limitation.
To the maximum extent allowed by law, Unilist is not liable for:
- lost profits;
- personal injury;
- property damage;
- stolen items;
- fraud by Users;
- emotional distress;
- data loss;
- downtime;
- lost opportunities;
- offline harms.
20.2 No Liability for Offline Events.
Unilist is not responsible for meetups, transportation, or in-person interactions.
20.3 Aggregate Limit.
Unilist's total liability shall not exceed $100 USD or the amount a User has paid to Unilist in the past 12 months (whichever is greater).
21. Indemnification
Users agree to defend, indemnify, and hold harmless Unilist and its founders from claims arising out of:
- User content;
- violations of these Terms;
- interactions with other Users;
- offline meetups;
- misuse of the Platform;
- prohibited items;
- negligence or misconduct.
PART 4 — ARBITRATION, TERMINATION, GOVERNING LAW, FINAL CLAUSES
22. Binding Arbitration Agreement
22.1 Agreement to Arbitrate.
Users and Unilist agree that any dispute, claim, or controversy arising out of or relating to:
- these Terms;
- the Platform;
- any transaction or interaction on Unilist;
- enforcement or interpretation of these Terms;
- rights and obligations between Users;
shall be resolved exclusively through binding arbitration, rather than in court.
22.2 Arbitration Exceptions.
The following disputes are not subject to arbitration:
- copyright, trademark, code ownership disputes between founders;
- any claim that qualifies for small claims court;
- requests for injunctive relief for IP protection.
22.3 Arbitration Rules.
Arbitration shall be conducted by a neutral arbitrator under the rules of:
- the American Arbitration Association (AAA); or
- another mutually agreed arbitration service.
22.4 Arbitrator Authority.
The arbitrator has exclusive authority to:
- resolve all disputes;
- interpret these Terms;
- determine arbitrability;
- award damages consistent with these Terms.
22.5 Location of Arbitration.
Arbitration shall take place in Santa Clara County, California or via remote video if both parties agree.
22.6 Costs.
Each party bears its own legal costs unless the arbitrator decides otherwise.
22.7 No Jury Trial.
By agreeing to arbitration, Users and Unilist waive the right to a jury trial.
23. Class Action Waiver
23.1 Waiver.
Users agree not to bring or participate in any:
- class action;
- collective action;
- representative proceeding.
23.2 Individual Claims Only.
All claims must be brought on an individual basis.
23.3 Unenforceable Waiver.
If the class action waiver is deemed unenforceable:
- the arbitration clause becomes void for that claim only;
- the claim must be filed in state or federal court in Santa Clara County.
24. Termination and Suspension
24.1 Termination by User.
Users may delete their accounts at any time. Some data may be retained per our data retention policy.
24.2 Termination by Unilist.
Unilist may suspend or terminate accounts for:
- safety concerns;
- prohibited items;
- fraud;
- harassment;
- law enforcement request;
- violation of these Terms.
24.3 Effect of Termination.
After termination:
- Content may remain in backups;
- Messages may remain for investigation;
- Users lose access to all Platform features.
24.4 Founders Clause (Wesley & Yang).
If a founder becomes inactive for more than 14 days without explanation:
- votes are suspended;
- draws (profit distributions) are paused;
- rights are reinstated upon reactivation.
24.5 Founder Death Clause.
If a founder passes away:
- voting rights do not transfer to heirs;
- heirs receive economic rights only;
- the company may buy out equity at fair market value.
25. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any disputes not subject to arbitration must be heard exclusively in courts located in Santa Clara County, California.
26. Severability
If any part of these Terms is deemed unenforceable, the remaining sections remain valid and enforceable.
27. Entire Agreement
These Terms constitute the entire agreement between Users and Unilist regarding Platform use.
Any modifications must be in writing and posted on the Platform.
28. Changes to Terms
Unilist may update these Terms at any time. Changes take effect immediately upon posting.
Critical changes will be communicated via in-app notifications or email.
